While Branium.ai makes every effort to select trusted and reputable third-party providers, users acknowledge that Branium.ai does not have control over, nor does it assume liability for, the actions, services, or performance of third-party services or providers. These external integrations are provided solely for user convenience, and users interact with these services under the terms and conditions set by the respective third parties. Branium.ai cannot guarantee the reliability, availability, security, or quality of these external services and shall not be held responsible for any issues that arise as a result of interacting with third-party services, unless such liability cannot be excluded under the provisions of UK law, including the UK Consumer Rights Act 2015 or UK General Data Protection Regulation (UK GDPR).
In cases where personal data is involved in these third-party integrations, Branium.ai ensures that appropriate Data Processing Agreements (DPAs) are in place with the third-party providers, guaranteeing that they comply with UK GDPR requirements. These agreements ensure that any personal data shared with external service providers is handled in accordance with strict privacy and security standards, protecting the rights and interests of users. Branium.ai takes the privacy of user data seriously and makes every effort to ensure that any third-party services with which it integrates maintain high standards of data protection in line with UK consumer law.
However, despite these efforts, Branium.ai cannot be held accountable for any breaches or issues caused by third-party services that are outside of its control. Users are encouraged to review the privacy policies, terms of service, and any other relevant documentation provided by third-party services before using their integrations with Branium.ai to ensure they understand how their data may be handled.
User Responsibility
By interacting with third-party services or integrations through Branium.ai, users acknowledge and accept that they do so at their own risk. Branium.ai provides these third-party integrations for convenience, but users must independently evaluate and assume responsibility for any risks or consequences associated with using such services. This includes ensuring that any personal data shared with third-party services is done in accordance with the user’s preferences, and users should exercise caution when providing sensitive or confidential information to third parties.
If any issues arise with third-party integrations that directly affect Branium.ai’s services, users are encouraged to contact the Branium.ai support team as soon as possible. Branium.ai remains dedicated to ensuring the best possible experience for its users but disclaims liability for any issues or damages that arise from third-party integrations or services.
Termination & Suspension of Accounts
Grounds for Termination
Branium.ai reserves the right to suspend or terminate user accounts for various reasons, including but not limited to violations of these Terms, engagement in fraudulent activities, or exhibiting harmful or disruptive behavior that negatively affects the platform, its services, or other users. Such actions may include, but are not limited to, abusive conduct, manipulation of platform features, or any other behavior deemed detrimental to the platform’s integrity, security, or overall user experience. Account suspension or termination is not automatic and will always be subject to a thorough review process to ensure fairness and transparency. The severity of the violation will be taken into account when determining the appropriate course of action, and Branium.ai will notify the user in writing of any such actions via email or platform alerts.
When an account is suspended or terminated, users will be given a reasonable opportunity to respond to the situation. Branium.ai will notify users of the suspension or termination decision and provide a clear explanation of the reasons for such actions. In line with UK consumer law, users will be provided with a 7-day period in which they can appeal the decision if they believe the termination was unjustified or if they have any relevant information or mitigating factors to present. This appeals process ensures that users have an opportunity to rectify any misunderstandings or resolve issues, giving them a fair chance to retain access to their account if appropriate. Branium.ai will carefully consider any appeals and may reinstate accounts if the circumstances warrant.
Branium.ai takes these matters seriously and adheres to all applicable UK laws and regulations, including ensuring that any suspension or termination of accounts is handled with respect for user rights and in full compliance with consumer protection laws. Users are advised to familiarize themselves with the Terms and conduct themselves accordingly to avoid the risk of account suspension or termination. Should a user’s account be suspended or terminated, they will be informed promptly, and all available options for resolution, including the right to appeal, will be outlined clearly.
Effects of Termination
When a user’s account is terminated, whether due to violations of these Terms or any other reason deemed appropriate by Branium.ai, the user will lose access to all services provided by Branium.ai, including any premium features, subscriptions, or services that may have been active at the time of termination. This includes, but is not limited to, access to the platform’s AI tools, content generation capabilities, and any other features that are integral to the user experience. Additionally, the user will no longer have access to any remaining “Neurons” or other forms of credits or balances that may have been accumulated on the platform. Neurons, or any other similar platform-specific credits, will be rendered void and non-transferable upon termination, and users will no longer be able to use or redeem these assets for any purposes within the platform.
Branium.ai does not provide refunds for remaining balances or credits, including Neurons, unless required by UK law. For example, if the services provided were unfit for the user’s purpose or did not meet the criteria of satisfactory performance as outlined under the UK Consumer Rights Act 2015, the user may be entitled to a refund. However, refund eligibility will be assessed on a case-by-case basis, depending on the nature of the termination and whether the services failed to meet the legal standards of fitness for purpose, quality, or performance. Branium.ai is committed to upholding UK consumer rights and will make every effort to assess these cases fairly.
If a user believes that the termination of their account was unjust or that a refund may be warranted due to issues with the services provided, they can request a review of the termination decision. Branium.ai will assess the circumstances surrounding the termination and determine the eligibility for a refund based on the specifics of the case. Users are advised to submit their appeal or request for a refund within 30 days of the termination notice. During this review process, Branium.ai will consider all relevant factors, including the user’s account history, the reason for termination, and any applicable legal obligations. A final decision will be made and communicated to the user within 30 days of receiving the request, ensuring that all actions are taken in compliance with UK law and consumer expectations.

This includes no responsibility for the uninterrupted operation of the platform, the accuracy of AI-generated content, or the suitability of services for any particular use case. Users should carefully review and verify all AI-generated outputs before utilizing them in any business, personal, or professional context. In addition, Branium.ai does not warrant that the platform will always be available without interruptions, delays, or errors. While the company strives to maintain high standards of reliability, unforeseen downtime, maintenance issues, or technical errors may occur, and Branium.ai does not assume responsibility for any losses, disruptions, or damages resulting from such issues, unless such events are caused by our gross negligence or willful misconduct.
Branium.ai is also not responsible for any issues that arise from the use of third-party services or integrations, including but not limited to third-party APIs, tools, software, or services that may be used in conjunction with Branium.ai’s platform. While Branium.ai makes reasonable efforts to ensure the quality and security of third-party services, these services are outside the company’s control, and any disruptions, errors, or failures originating from third-party providers are not the responsibility of Branium.ai, except where liability cannot be excluded under UK law. Users are encouraged to review the terms and conditions of any third-party services they interact with, as well as their privacy policies, to understand the risks and responsibilities associated with using such services.
Furthermore, Branium.ai disclaims any liability for damages, losses, or negative consequences that result from the use of the platform, including but not limited to any loss of data, revenue, reputation, or business opportunities. This also extends to any issues arising from AI-generated content that may be inaccurate, incomplete, or otherwise unsuitable for the user's intended purposes. By using Branium.ai, users accept full responsibility for the potential risks associated with AI outputs, including any legal or financial consequences that may arise from using such content inappropriately or without proper verification. Branium.ai will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or goodwill, unless such damages result from Branium.ai’s gross negligence or willful misconduct.
While Branium.ai cannot be held liable for the aforementioned issues, the company is committed to investigating reported problems with the platform and its services, including any concerns with AI-generated outputs or platform performance. If users encounter issues that they believe may be caused by the platform’s functionality, technical errors, or other problems, they are encouraged to contact Branium.ai's support team. Branium.ai will make reasonable efforts to resolve such issues in a timely manner, providing assistance where possible, and ensuring that all actions comply with UK consumer law and uphold user expectations regarding digital content quality. The company strives to offer effective support for technical difficulties, disruptions, and content-related problems within the bounds of its operational capabilities, though users should acknowledge that not all issues may be resolved due to the complex nature of AI technology and the external factors beyond Branium.ai's control.
Users should also understand that by utilizing the platform, they accept the inherent limitations of AI technology, including the potential for errors or biases in AI-generated content. Branium.ai encourages users to exercise caution when using AI-generated materials and to cross-check outputs, particularly in sensitive or critical contexts. Branium.ai does not take responsibility for any negative outcomes or consequences arising from the use or reliance on such outputs. However, in line with UK law, the company will make reasonable efforts to address and rectify issues reported by users, always aiming to improve platform performance, maintain high standards of quality, and ensure compliance with applicable consumer protection laws.
Severability
In the event that any provision or part of these Terms is found to be unenforceable, invalid, or illegal under applicable law by a competent court or regulatory body, such a determination will not affect the enforceability of the remaining provisions of these Terms. The unenforceable, invalid, or illegal provision will be deemed modified to the extent necessary to make it enforceable, valid, and consistent with the original intent of the parties, while ensuring that the remainder of the Terms continues to apply in full force and effect. This ensures that even if a particular provision is deemed unenforceable, the overall structure, operation, and functionality of these Terms will remain intact and operative, providing a comprehensive and enforceable agreement between Branium.ai and its users.
The severability clause is designed to preserve the integrity of the contract, ensuring that the entire agreement does not become void or unenforceable due to one problematic provision. In the event that a provision is found unenforceable, Branium.ai will make all reasonable efforts to modify that provision to align with applicable laws and regulations, and to reflect the original purpose of the provision to the fullest extent possible. This may involve adjusting the scope, language, or specific terms of the unenforceable provision to ensure that it complies with legal standards while still upholding the intent of the agreement. Any modifications made will be done in good faith and with the goal of maintaining the balance of rights and obligations between the parties, as originally established.
If such a modification or severance is required, the parties agree that the remaining provisions of these Terms will continue to be legally binding and effective. This includes, but is not limited to, the rights and obligations of both Branium.ai and the user as outlined throughout the agreement. Even if part of the agreement is altered or rendered unenforceable, the remainder of the Terms will continue to govern the relationship between the parties, ensuring that both Branium.ai and the user continue to be bound by the agreement, except in cases where specific provisions have been expressly determined to be unenforceable. In such cases, Branium.ai will take all necessary actions to ensure that the modified Terms are consistent with legal requirements while still maintaining the overarching principles of fairness, transparency, and compliance with UK consumer laws.
This severability clause emphasizes the importance of preserving the overall agreement in the event of a legal challenge to any individual provision. Branium.ai aims to maintain the enforceability and applicability of the entire set of Terms, and in the case where a provision is deemed unenforceable, the company will work diligently to ensure that any necessary changes are made promptly and in compliance with applicable legal standards. The continued enforceability of the remaining provisions will ensure that users’ rights, obligations, and protections under these Terms are not undermined or rendered void by the removal or modification of one provision, thus providing clarity and certainty in the ongoing operation of the platform.
Governing Law & Dispute Resolution
Legal Jurisdiction
These Terms shall be governed by, and construed in accordance with, the laws of the United Kingdom, without regard to its conflict of laws principles. This means that, regardless of the location of the user, any legal matters relating to or arising from the use of Branium.ai’s platform, including disputes, enforcement actions, and interpretation of the terms of the agreement, will be subject to the legal system of the United Kingdom. By agreeing to these Terms, both Branium.ai and the user consent to the jurisdiction of UK courts and agree that any legal actions, proceedings, or claims related to the platform or these Terms will be heard in the relevant courts located within the United Kingdom. This legal framework ensures consistency in the enforcement of these Terms and provides a clear and recognized legal system in which any disputes or claims will be handled.
The application of UK law extends to all aspects of these Terms, including the use of AI-generated content, platform services, third-party integrations, intellectual property rights, and user conduct. The governing law provision ensures that both Branium.ai and the user are clear on the legal rules and principles that apply when interpreting, enforcing, and resolving any legal issues that arise between the parties. Whether the issue concerns user compliance with platform rules, the performance of AI-generated outputs, or other aspects of platform functionality, the legal jurisdiction of the United Kingdom will govern the resolution of such matters. This also means that users agree to adhere to any legal obligations imposed by UK law, including consumer protection regulations, data protection laws (such as UK GDPR), and other relevant legislation.
In addition to providing legal clarity, this provision also ensures that Branium.ai, as a company based in the United Kingdom, operates within a consistent legal framework for business operations. This framework helps Branium.ai maintain compliance with local laws and regulations, while also providing users with a predictable and fair legal process if they need to resolve any issues with the platform. By choosing the laws of the United Kingdom, both parties have agreed to submit to the applicable legal standards and procedures in any disputes that arise under or in connection with these Terms.
Dispute Resolution
In the event that a dispute arises between Branium.ai and a user concerning these Terms, their relationship, or the platform's services, both parties will first attempt to resolve the dispute amicably and efficiently through negotiation. The aim of this negotiation process is to reach a mutually agreeable resolution without the need for formal legal proceedings. Both parties agree to engage in good faith discussions and to make reasonable efforts to understand each other’s position and concerns. Negotiation is intended to provide an informal, non-adversarial way of resolving issues and preventing the need for more costly and time-consuming legal processes.
If the dispute cannot be resolved through negotiation, the parties agree that the matter will then be submitted to binding arbitration, which will provide a more structured and formal means of resolving the issue. Arbitration is a method of alternative dispute resolution (ADR) in which an independent third-party arbitrator, selected by both Branium.ai and the user, will hear the case and make a legally binding decision. The arbitration process will take place in accordance with the rules of a recognized arbitration institution or under any other mutually agreed-upon set of rules. This process is designed to be faster and less formal than traditional court litigation, while still ensuring that both parties have the opportunity to present their case and that a final, enforceable decision is made.
The parties agree that any arbitration proceedings will be conducted in the United Kingdom, and that UK law will apply to the arbitration process, in alignment with the governing law provision outlined above. The decision of the arbitrator will be final and binding, and neither party will have the right to appeal or challenge the outcome, except in limited circumstances prescribed by law. In addition, the costs of the arbitration will be shared equally between the parties, unless the arbitrator rules otherwise. The binding nature of arbitration ensures that both Branium.ai and the user are held accountable for their positions and are provided with a fair resolution, while also avoiding the delays and complexities often associated with court-based litigation.
This dispute resolution process is intended to protect both parties by providing a clear, fair, and efficient method of resolving conflicts without the need for protracted legal battles. Arbitration also ensures that disputes are handled privately and confidentially, which can be beneficial for both Branium.ai and the user, particularly when sensitive or proprietary information is involved. Furthermore, arbitration is a more flexible dispute resolution method that can be tailored to the specific nature of the dispute, allowing for a more customized and streamlined process than traditional court proceedings.
Amendments & Updates to Terms
Right to Modify Terms
Branium.ai reserves the unequivocal right to amend, modify, or update these Terms at any time, at its sole discretion, without prior notice, except where required by law or in the case of significant changes. These updates may be made in response to changes in applicable laws, emerging industry standards, updates to platform features, or in response to user feedback. Branium.ai will not be held liable for any consequences that arise from such modifications, and users should regularly review the Terms to ensure they remain informed about any adjustments or additions to the agreement. The right to modify the Terms is integral to maintaining the flexibility and adaptability of the platform, ensuring that the legal framework remains current, relevant, and in full compliance with evolving legal and regulatory requirements.
Whenever significant changes are made to these Terms, Branium.ai is committed to notifying users of such updates through official channels, which may include email notifications, platform alerts, or other communication methods as deemed appropriate by the company. This ensures that users are fully informed about any substantial modifications that may affect their rights or obligations under these Terms. While Branium.ai strives to ensure that updates are communicated in a clear and timely manner, it remains the responsibility of users to regularly check for updates, as failure to do so does not absolve them from being bound by any changes made to these Terms. This process helps ensure that all users have the opportunity to review and understand any updates before continuing their use of the platform.
These modifications can range from minor clarifications and updates to more significant changes in platform operations, user responsibilities, data handling practices, or compliance with new legal frameworks. Branium.ai makes these changes in a manner that respects user interests and aims to create a safe, transparent, and legally sound environment for all parties involved. The right to modify the Terms without notice is essential for adapting to changing circumstances, ensuring the ongoing functionality and legal integrity of Branium.ai, and maintaining compliance with relevant industry regulations. As such, users acknowledge and agree that these Terms may change over time, and that it is their responsibility to remain informed about any updates that may occur.
User Responsibility
By continuing to access and use Branium.ai after updates to these Terms have been made, users explicitly acknowledge and agree to be bound by the revised Terms in their entirety, including any modifications or additions. This continued use constitutes an affirmative acceptance of the updated Terms, and users waive any right to claim ignorance of or dispute the updates, unless they have specifically communicated their disagreement with the changes within the provided timeframe, if applicable. The user’s ongoing engagement with the platform is understood to signify that they accept the most current version of the Terms and that they are responsible for understanding how any changes may impact their rights and obligations under the agreement.
It is important to note that continued use of the platform after any changes have been made to the Terms is treated as automatic consent to the updated Terms, regardless of whether the user has actively reviewed the updates. This provision emphasizes the importance of users maintaining an awareness of updates to the Terms, as they may affect key aspects of their interaction with Branium.ai, including their rights, obligations, and access to platform features. If users disagree with any changes to the Terms, they are encouraged to cease using the platform immediately. However, by choosing to continue using Branium.ai, users confirm their acceptance of the updated Terms, and Branium.ai will not be responsible for any misunderstandings or disputes arising from the failure to review such updates.
Users are also reminded that certain changes may affect their use of Branium.ai’s services, such as updates to privacy policies, data handling practices, fees, or terms related to third-party services integrated into the platform. In some cases, modifications to the Terms could significantly alter how users interact with the platform or the services available to them. Therefore, it is crucial for users to stay informed about these updates and make decisions accordingly. Branium.ai strives to provide clear and accessible communication about any changes, but users ultimately bear the responsibility for ensuring they remain up-to-date with the latest Terms.
